Terms of Service

Effective Date: August 30, 2025

Welcome to MetricPilot (“the App”, “we”, “our”, “us”). By installing or using MetricPilot in connection with your Shopify store, you (“you”, “your”, “merchant”, “store owner”) agree to be bound by these Terms of Service.

1. Overview

MetricPilot provides a dashboard and analytics tool that connects to your Shopify store and gives insights into sales, customers, and product performance. These Terms govern your use of the App and form a legally binding agreement between you and us.

2. Eligibility

  • Be at least 18 years old (or the age of majority in your jurisdiction).
  • Have a valid Shopify store account.
  • Have authority to bind your business to these Terms.

3. Use of the App

When you install the App, you grant us permission to access certain store data via Shopify’s API, including orders, products, and customer information, as described in our Privacy Policy. You agree to use the App only for lawful purposes, not misuse the App (e.g., reverse engineer, attempt unauthorized access, or disrupt functionality), and comply with all applicable laws, including data protection laws.

4. Data & Privacy

Our use of your data is governed by our Privacy Policy. By using the App, you consent to the collection, use, and disclosure of your data as described there.

5. Billing & Payment

  • MetricPilot offers a 7-day free trial.
  • After the trial, continued use requires a subscription of $29/month, billed through Shopify’s Billing API.
  • All fees are non-refundable except where required by law.

6. Termination & Uninstallation

You may uninstall the App at any time through your Shopify admin. Upon uninstallation, we lose access to your store data, and we will delete your stored data within 30 days in accordance with our Privacy Policy. We may suspend or terminate your access if you violate these Terms, misuse the App, or fail to pay fees.

7. Intellectual Property

All rights, title, and interest in the App (software, code, designs, trademarks, and content) remain with MetricPilot. You are granted a limited, non-exclusive, non-transferable license to use the App solely for your Shopify store’s internal business purposes.

8. Disclaimer of Warranties

The App is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, MetricPilot shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability to you for any claim arising out of or relating to the App shall not exceed the fees you paid us in the past 12 months.

10. Indemnification

You agree to indemnify and hold harmless MetricPilot, its affiliates, and employees from any claims, damages, liabilities, and expenses arising out of your use of the App, violation of these Terms, or violation of any law or rights of a third party.

11. Changes to Terms

We may update these Terms from time to time. Any changes will be posted at https://app.metricpilot.app/termswith the updated effective date. Continued use of the App after changes means you accept the revised Terms.

12. Governing Law

These Terms shall be governed by and construed under the laws of Ontario, Canada, without regard to conflict of laws.
